Description

The City of Redmond currently has several Enterprise Asset Management (EAM) systems that support the management of its assets by staff in multiple divisions. The goal of this RFP is to secure one EAM system to support multiple divisions of the City. To that end, the City requests Proposals from qualified vendors for the acquisition, deployment, and ongoing support of an EAM technology solution (SaaS) that will be configured, tested, and implemented with end users fully trained. The City’s estimated budget for software costs, configuration, and implementation is $800,000 over three fiscal years. Ongoing maintenance subscription costs will be allocated in future years. The selected vendor shall provide a complete solution encompassing what is further detailed in Exhibits B and C of this RFP.

The RFP requires 2 signatures. Per the submission requirements on page 3 of the RFP, “The Proposals must be signed by the person(s) legally authorized to bind the Contractor to the quote and the Contract resulting from this RFP. Upon request of the City, any representative submitting a Proposal on behalf of the Contractor shall provide a current document certifying authority to bind the Contractor.” Per the contractor requirements on page 7 of the RFP, “Proposal must include a signed copy of ORS Statutory Requirements Exhibit A.”  

Exhibit A requires that any exceptions be submitted a minimum of five (5) working days prior to the proposal deadline. Can the City please confirm whether this requirement applies solely to the certifications and conditions listed in Exhibit A, or whether it also applies to exceptions or redlines to Exhibit E (Sample Services Contract)?

1. Has the City of Redmond participated in product demonstrations in the last 12 months? If so, which vendors did you see? 2. Will the client provide IT resources to build and maintain any of the required integrations, or is the vendor expected to deliver services and middleware for each required integration?   2. The City does not intend to build or maintain any integrations with the selected software solution. It is the City's assumption that for all required integrations there should be out of the box API integrations that would not require additional software or custom tools to enable integration.

The RFP mentions that the new wastewater treatment plant assets will be brought into the new EAM system at a later date. For the purpose of this RFP, should we include Wastewater Treatment Plant as part of the initial scope for pricing and implementation? Or should we keep that out of the initial scope?

Regarding Submission Requirements on page three of the RFP, Requirement 9: "It is expressly understood by the Contractor that written notice of award by the City will constitute a Contract by the City to consummate the transaction and will serve together with the Proposal, advertisement, these instructions, and the detailed specifications, as the entire form of Contract between the parties except in cases where formal Contracts are warranted." We propose that the fully negotiated contract (including the Statement of Work and other applicable documentation) between the parties will constitute the contract. We will negotiate in good faith with the City to reach a final agreement with mutually acceptable terms and conditions.

All documents received by the City are subject to public disclosure after the City selects a Proposer. Information deemed by the Proposer as exempt under Oregon’s public records law should be clearly marked by the Proposer as “Proprietary”. Marked pages should be placed in a group separate from the remainder of the Proposal. The City will make an independent determination regarding exemptions applicable to information that has been properly marked and segregated. The City will attempt to maintain the confidentiality of materials clearly marked “Proprietary” to the extent allowable under Oregon public records law. 

Regarding Exhibit E: SaaS Contract Template on page one, Requirement 1: "TERM. The Initial Term of the Contract shall commence on , and shall terminate on ,unless earlier terminated or extended as provided in the Contract." We propose the TERM clause in the resultant contract include provisions for both the initial term and ongoing annual renewal periods, to be negotiated between the parties. Because the contract will include terms and conditions for ongoing software maintenance and support which will govern the system for as long as the City uses it, the contract will need to be in effect for such periods, which could continue for multiple years.

For clarification, the amount due on each statement shall be for Services to be provided during the following year." For clarification, we are proposing a firm, fixed-fee project including a payment schedule based upon completion of major project milestones; upon completion of a milestone step, a payment shall be due. Once the project is implemented and complete, ongoing subscription fees for software support and maintenance shall be due on an annual basis.

Contractor shall provide all software updates and System maintenance of all the Services defined in Exhibit A. Contractor shall provide prompt maintenance and repair service to keep Systems operating properly. Such Service shall be provided in accordance with the Service Levels defined in the proposal, following notification to Contractor by City that such service is required. In the event immediate repair is not possible, Contractor shall make repairs and restore any malfunctioning or inoperative System to a satisfactory working condition within a brief period of time following notification by the City unless an extended period is agreed upon prior to the System repair commencement." We will provide support and related services in accordance with our standard provisions as set forth in our Solutions Agreement, a sample copy of which will provided with our proposal.

Additional parameters such as specific conditions or event triggers will need to be included in any potential Termination for Convenience language, which shall be mutually agreed upon by the Parties. Additionally, we propose no termination by either party shall be made without a minimum of thirty (30) days’ prior written notice by the terminating party. Any termination for default shall also include a minimum of thirty (30) days’ notice and ability for the defaulting party to cure such default, for any defaults capable of cure.

Regarding Exhibit E: SaaS Contract Template on page three, Requirement 17: "INDEMNIFICATION: Contractor shall defend, save, hold harmless and indemnify the City and its officers, directors, agents, employees and volunteers from and against all claims, suits, actions, losses, damages, liabilities costs and expenses of any nature resulting from or arising out of, or relating to the activities of Contractor or its officers, employees, contractors, or agents under this Contract. Neither party shall be liable to the other for any incidental or consequential damages arising out of or related to this Contract. Neither party shall be liable for any damages of any sort arising solely from a lawful termination of this Contract or any part hereof in accordance with its terms." We will indemnify and hold harmless the City for direct damages arising from the negligent or wrongful acts or omissions of our company, its employees or agents, subject to a limitation of liability provision as further defined in sections 13 and 19 of our Solutions Agreement (copied below for reference and to be included with our proposal): 13. Indemnification. 13.1. Company Indemnification. We shall indemnify, defend, and hold harmless Customer from any and all Claims or liability, including attorneys' fees and costs, brought by a third party, allegedly arising out of, in connection with, or incident to any loss, damage or injury to persons or property or arising solely from a wrongful or negligent act, error or omission of our company, its employees, agents, contractors, or any subcontractor as a result of our or any subcontractor’s performance pursuant to this Agreement; however, we shall not be required to indemnify Customer for any claims caused to the extent of the negligence or wrongful act of Customer, its employees, agents, or contractors. Notwithstanding anything to the contrary in the foregoing, if a Claim or liability results from or is contributed to by the actions or omissions of Customer, or its employees, agents or contractors, our obligations under this provision shall be reduced to the extent of such actions or omissions based upon the principle of comparative fault. 13.2. Customer Indemnification. To the extent allowable by law, Customer shall indemnify, defend, and hold harmless our company from any and all Claims or liability, including attorneys' fees and costs, allegedly arising out of, in connection with, or incident to any loss, damage or injury to persons or property or arising solely from a wrongful or negligent act, error or omission of Customer, its employees, agents, contractors, or any subcontractor as a result of Customer’s or any subcontractor’s performance pursuant to this Agreement; however, Customer shall not be required to indemnify our company for any Claims or actions caused to the extent of the negligence or wrongful act of our company, its employees, agents, or contractors. Notwithstanding anything to the contrary in the foregoing, if a Claim or liability results from or is contributed to by the actions or omissions of our company, or its employees, agents or contractors, Customer’s obligations under this provision shall be reduced to the extent of such actions or omissions based upon the principle of comparative fault. 13.3. "Claim" in this Section 13 means any claim, cause of action, demand, lawsuit, dispute, inquiry, audit, notice of violation, proceeding, litigation, citation, summons, subpoena or investigation of any nature, civil, criminal, administrative, regulatory or other, whether at law, in equity, or otherwise. 19. Regarding Exhibit E: SaaS Contract Template on pages six through eight, Exhibit 2: INSURANCE and BOND - CITY OF REDMOND SERVICES CONTRACT: Our company carries and maintains insurance in policy types and coverage amounts that meet or exceed the requirements of the RFP, and which are commensurate with the industry in which our company practices. Upon award, we will provide the City with a fully prepared Certificate of Insurance which will include the City as additional insured on all applicable policies. With respect to the requirements in the City’s “Exhibit 2”, we provided the following clarifications, alternative language, and/or exceptions: • Pollution Liability – We do not agree to nor will obtain “Pollution Liability” insurance coverage, as this is not relevant to the implementation of a cloud software project as proposed. • Provision of Full Policies – Our full insurance policies contain sensitive information relative to our company as a privately held company and are not shared with its client base or the public.

The City does not intend to build or maintain any integrations with the selected software solution. It is the City's assumption that for all required integrations there should be out of the box API integrations that would not require additional software or custom tools to enable integration.

Could you please also provide us details on how many years of historical data you are planning to migrate to the new CMMS system? Can you give us an estimate of the number of Work Orders and Assets?

  1. The City does not currently plan to migrate data directly from the softwares we are currently using. Asset registries and other data sets will be primarily housed in GIS, with the potential for some data to be housed in Excel spreadsheets. Historic work orders or inspections will not be migrated. The City will work with the selected vendor to build preventative maintenance load sheets based on a template provided by the selected vendor.
  2. The City is not planning on transferring any historic work orders.
  3. Approximate types and quantities of assets are outlined in the RFP.
